Welcome to On Point Personnel LLC (“On Point Personnel LLC”, “we”, “us”, or “our”). These Terms & Conditions (“Agreement”) govern your access to and use of our website, applications, services, and staffing-solutions offerings (collectively, the “Services”). By accessing or using our Services, you agree to be bound by this Agreement. If you do not agree with any part of this Agreement, please do not use our Services.

1. Acceptance of Terms

Your use of or access to the Services constitutes your acceptance of this Agreement. If you do not wish to agree to the terms in full, you must not use or access our Services.

2. Amendments to Terms

On Point Personnel LLC may modify, supplement, update, or remove portions of this Agreement at its sole discretion at any time. The updated terms will become effective immediately upon posting. It is your responsibility to review the Agreement each time you use the Services. Continued use following changes constitutes acceptance of the revised terms.

3. Scope of Agreement

This Agreement, together with our Privacy Policy, and any other agreements you may enter into with us (such as candidate-assignment agreements, client service agreements, or vendor contracts) form the entire agreement regarding your access to and use of the Services. If there is any conflict between this Agreement and another agreement you have with On Point Personnel LLC, the terms of this Agreement govern your access and use of the Services unless otherwise stated in a written agreement with us.

4. Eligibility & Use of Services

You represent and warrant that you are at least 18 years old and have full legal capacity to enter into this Agreement.

If you are accessing the Services on behalf of an organization or employer, you represent that you have the authority to bind that entity to this Agreement.

You agree to use the Services in compliance with all applicable laws, rules, and regulations.

5. Permitted and Prohibited Use

  • You may access and use the Services for your personal, non-commercial use (unless we expressly permit otherwise). You agree not to:

  • Use the Services in any way that violates any applicable law or regulation.

  • Reproduce, distribute, modify, create derivative works of, publicly display or perform, republish, download, store, or transmit any of the content of the Services except as permitted.

  • Use any robot, spider, or other automated device, process, or means to access or monitor any portion of the Services.

  • Impersonate On Point Personnel LLC, an On Point Personnel LLC employee, another user, or any other person or entity.

  • Upload or transmit any materials that are harmful, offensive, defamatory, infringing on third-party rights, or violate applicable law.

  • Use the Services in a manner that disrupts, interferes with, or burdens the Services or any network connected to it.

6. Intellectual Property Rights

All content, design, layout, graphics, logos, software, text, images, and other materials on or through the Services are owned by On Point Personnel LLC or its licensors and protected by U.S. and international intellectual property laws. No right, title, or interest in or to the Services or any content is transferred to you. Any use of materials other than as expressly permitted is a breach of the Agreement and may violate laws.

7. User-Generated Content

If you submit or upload content to our Services (such as resumes, job applications, comments, feedback or other materials), you grant On Point Personnel LLC a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, distribute and display such content for the purposes of providing and improving the Services and matching candidates to job opportunities, and fulfilling client engagements. You represent that you own or have the rights to the content you submit and that the content does not infringe any third-party rights or violate any laws.

8. Third-Party Links and Services

The Services may contain links to third-party websites, applications, or services that we do not control. We do not endorse and are not responsible for those sites or the content therein. Your interactions with any third-party services are solely between you and the third party; you acknowledge and agree that On Point Personnel LLC is not liable for any loss or damage resulting from those interactions.

9. Disclaimers; No Guarantees

The services are provided “as is” and “as available” without representations or warranties of any kind, express or implied. To the maximum extent permitted by applicable law, on point personnel llc disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement. On point personnel llc does not warrant that the services will be uninterrupted, secure, or error-free. On point personnel llc does not guarantee the success of any job placement or staffing assignment.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall on point personnel llc be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or use, arising from or in connection with your use of the services or any content on the services. In all cases, on point personnel llc’s aggregate liability for direct damages shall not exceed the greater of (a) us $100 or (b) the amount you paid, if any, for access to the services in the twelve (12) months preceding the claim.

11. Indemnification

You agree to defend, indemnify and hold harmless On Point Personnel LLC, its affiliates, officers, directors, employees and agents from and against any and all claims, liabilities, losses, damages, costs or expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Services, your violation of this Agreement, or your violation of any rights of a third party.

12. Termination or Suspension

On Point Personnel LLC may, in its discretion, suspend or terminate your access to the Services, or remove or disable any content you submitted, at any time and for any reason, including if you breach this Agreement. Upon termination, your right to use the Services will cease immediately. All provisions which by their nature should survive termination will so survive (including sections on intellectual property, disclaimers, limitation of liability, indemnification, and governing law).

13. Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas (or the state in which On Point Personnel LLC is headquartered) without regard to conflict-of-law principles. You agree that the state and federal courts located in [Insert County], Texas, shall have exclusive jurisdiction to adjudicate any dispute arising from or relating to this Agreement.

14. Changes to the Services & Terms

We reserve the right to modify, suspend, or discontinue the Services (or any part thereof) at any time, with or without notice. We also reserve the right to change these Terms at any time by posting the new version on our website. It is your responsibility to review the Terms each time you access the Services; your continued use after changes constitutes acceptance of the new Terms.

15. Severability & Waiver

If any part of this Agreement is determined to be invalid or unenforceable under applicable law, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect. No failure or delay by On Point Personnel LLC to enforce any right or provision of this Agreement shall operate as a waiver of that right or provision.

16. Entire Agreement

This Agreement, along with the Privacy Policy and any other written agreements you have with us, constitutes the entire agreement between you and On Point Personnel LLC regarding your use of the Services and supersedes any prior or contemporaneous agreements, representations, or understandings.
